About Swing and Acceptance

Swing is a digital transport marketplace operated by Strayfox Ventures Ltd. It connects Customers with independent Carriers who provide cargo and passenger transportation services.

These Terms govern your registration and use of Swing as a Carrier. By creating an account, submitting a Bid or accepting a Job, you confirm that you have read and agree to these Terms and applicable Swing policies. If you do not agree, do not use the Carrier services.

2

Definitions

In these Terms, unless the context requires otherwise:

Registration and Eligibility

To register and operate as a Carrier on Swing, you must be at least 18 years old (or operate through a duly registered business) and:

  • Provide accurate personal or business, contact, identity and vehicle information.
  • Provide your county and town/estate of operation.
  • Hold a valid driving licence appropriate to the vehicle and service offered.
  • Have the legal right to operate the registered vehicle and all required permits and authorisations.
  • Keep your registration details and supporting documents accurate and up to date.

Submitting an application does not automatically approve you. Swing may request supporting documents and may reject incomplete or unverifiable applications.

4

Verification and Vehicles

Carriers must complete Swing's verification process before submitting Bids or undertaking Jobs where verification is required. Swing may review identity documents, driving licences, vehicle registration, vehicle photographs, capacity and other relevant records.

You are responsible for ensuring that each vehicle used is legally registered, roadworthy, properly insured, maintained and suitable for the Job. Drivers must hold the correct valid licence. Do not exceed legal passenger or load limits or use an unapproved substitute vehicle.

5

Job Area and Availability

Your county and town/estate are mandatory registration details and must accurately reflect your place of operation. Update these details if your operating location changes.

Jobs shown to you depend on Swing's eligibility, vehicle and location rules, including the applicable 30-kilometre job discovery radius. Swing does not guarantee that Jobs will be available in your area. You must not falsify or manipulate location information to access Jobs.

6

Bids and Job Acceptance

Review each Job carefully before bidding, including the route, cargo or passenger requirements, vehicle suitability, timing and costs. Submit genuine Bids that reflect the price at which you are willing and able to complete the Job.

Submitting a Bid does not guarantee selection. A Job is confirmed only through the applicable acceptance and payment-verification process. Once confirmed, you must honour the agreed price and service unless a change or cancellation is properly agreed.

7

Pricing and Commitment Fee

The Customer pays a 10% commitment fee after accepting a Carrier's Bid, subject to Swing's payment-verification process. The fee is paid by the Customer and deducted from the total accepted Bid price. It is not an additional 10% deduction from the Carrier's quoted price.

Once the commitment fee is verified, the remaining balance of the accepted Bid price is payable to the Carrier in accordance with the agreed payment arrangements. Do not demand unauthorised extra charges or misrepresent the agreed price.

8

Service Standards

Provide services safely, professionally, on time and with reasonable care. Treat Customers respectfully, protect their property, communicate delays or problems promptly and provide accurate information about your vehicle, capacity, availability and price.

Discrimination, harassment, threats, violence, abusive conduct, fraud, unauthorised charges and misrepresentation are prohibited.

Customer contact details are confidential and may only be used to complete the relevant confirmed Job. Do not copy, publish, sell or use Customer information for unrelated marketing or personal purposes. Access to contact details is subject to Swing's payment-verification rules.

9

Safety for Cargo and Passengers

  • Carry only the cargo or passengers covered by the accepted Job and permitted by law.
  • Do not carry prohibited, illegal or dangerous goods.
  • Use a suitable vehicle and comply with legal capacity, road-safety and traffic requirements.
  • Take reasonable steps to prevent loss, theft of or damage to cargo and property.
  • Immediately report accidents, breakdowns, delays or safety concerns to the Customer and Swing.

You remain responsible for your vehicle, drivers, staff, equipment, insurance and the lawful performance of the transportation service.

10

Cancellations and Disputes

Do not cancel or abandon a confirmed Job without a valid reason. If you cannot perform a Job or expect a material delay, notify the Customer and Swing as soon as possible.

Raise complaints and payment disputes through Swing's designated support channels and provide relevant information or records. Swing may review the matter and facilitate communication, but is not a party to the transportation service contract between the Customer and Carrier.

11

Compliance and Liability

You must comply with applicable Kenyan laws, including road traffic, transport, licensing, tax, employment, insurance, safety and data protection requirements relevant to your operations.

You are responsible for maintaining appropriate insurance and for claims arising from your vehicle, driver, negligence, misconduct or failure to perform a Job. Swing does not guarantee the conduct or performance of Customers or Carriers and, to the extent permitted by law, is not responsible for the transportation service itself.

12

Account, Changes and Governing Law

Keep your login details secure. Do not share your account, submit false information, manipulate Bids, interfere with the Platform, misuse Customer data or use Swing for unlawful activities.

Swing may restrict, suspend or terminate an account where verification fails, these Terms or the law are breached, safety is at risk or misuse is suspected. You remain responsible for addressing confirmed Jobs and outstanding obligations.

Swing handles personal information in accordance with its Privacy Policy and applicable Kenyan data protection law. Swing may update these Terms from time to time; continued use after an update takes effect means you accept the revised Terms.

These Terms are governed by the laws of Kenya.

Carrier Acknowledgement

By registering as a Carrier on Swing, you confirm that the information and documents you provide are accurate; you meet the relevant legal, vehicle and licensing requirements; you understand the bidding and 10% Customer commitment-fee arrangement; and you agree to provide safe, lawful and professional services in accordance with these Terms.
